PLC Pro License Agreement

For the purposes of this document, "Library" refers to the software development tool known as the "Programming Language Creator Pro".
"Licensor" is the owner and publisher of the Library, Adept Software.
"Products" is one or more software products created with the Library.
"Developer" is the developer of Products.

LIBRARY DEFINITION:

The Library is a programming language parser and interpreter. Programming language modules are combined with the Library to create a software program capable of interpreting and executing a language. The Library is provided in the form of complete source code.

By installing or using any part of the Library, you are agreeing to be bound by the terms of this license. If you do not agree to the terms of this license, please remove the Library from your computer.

LIBRARY USAGE LICENSE:

1. LICENSING FEE

To use Library, Developer must pay Licensor a licensing fee. Once the source code has been delivered, this licensing fee is nonrefundable.

2. LIBRARY SUPPORT

Developer is permitted 5 (FIVE) free Incidents of technical support via e-mail or telephone. An Incident is defined as a communication which one or more technical questions are answered by Licensor. A communication relating solely to a flaw within the Library is not considered an Incident.

Developer is entitled to access all new updates of the Engine when they are released.

3. COPYRIGHT NOTICE

Library is protected by United States copyright laws and international treaty provisions. All rights are reserved. Copying any part of the Library including the "look and feel", or creating derivative development tools using any part of Library is strictly forbidden.

4. CONFIDENTIALITY

The Library may NOT be distributed to the public in any way.

Developer agrees to keep Library confidential. Developer and Licensor agree that in the course of doing business, the exchange of confidential information is inevitable, and that best efforts shall be made to keep this information confidential. This includes but is not limited to: all source code, algorithms, and marketing plans.

The Library includes complete source code to PLC. Developer assumes complete responsibility for maintaining the confidentiality of the Library source code.

5. LIMITED WARRANTY & DISCLAIMER

The Library is provided "as-is". No warranty is made by Licensor. No future additions, fixes, or improvements are guaranteed.

Developer owns the copyright to Products. Developer only, and not Licensor, shall be responsible for the contents of Products. The licensing fee collected from Developer is not refundable under any circumstances, including the event that Products are never released. Licensor shall not be liable for any damages whatsoever caused by Products or by Developer's use of Library. Developer agrees to accept all responsibility and legal costs for any damage caused by Products.

IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, LOST SAVINGS, SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT OR OTHER SIMILAR DAMAGES ARISING FROM BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, OR OTHER LEGAL THEORY. DEVELOPER'S SOLE REMEDY FOR ANY DAMAGES SHALL BE A FULL REFUND OF THE LICENSING FEE SUBMITTED TO LICENSOR.

6. CONCLUSION

This is a legally binding contract between Developer and Licensor, and may not be terminated unless both parties agree in writing. If any term or condition of this agreement is violated or deemed to be illegal or unenforceable under any rule of law, all other terms shall remain in force. This contract shall be governed by the laws of the state of Florida.
